Terms of Service

Last Updated: 2026-05-04

1. Agreement to Terms

By accessing or using this site ("the Service"), you agree to be bound by these Terms of Service ("Terms"). The Service provides medical education content—including question banks, quizzes, and related learning tools—for physicians, trainees, students, advanced practice providers, nurses, and other healthcare learners across eligible disciplines and learner paths. It is operated by Toussaint Ventures LLC ("we," "us," or "our"). If you do not agree to these Terms, do not use the Service.

The Service may change over time—including features, content, and availability—and may be unavailable during maintenance. We may use access controls such as invitations or discretionary enrollment periods.

We may provide all or part of the Service without charge. No paid subscription is required today to use learner features that we choose to include in a free offering. We may introduce paid offerings in the future; if we do, we will describe them in these Terms or in separate terms you can review before you subscribe.

2. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the Service. By using the Service, you represent that you meet this requirement. The Service is intended for physicians, advanced practice providers, nurses, and other healthcare learners using it for permitted educational purposes. You are responsible for ensuring that your use complies with any institutional policies that apply to you.

3. Account Registration and Security

To access certain features, you must create an account. You agree to:
- Provide accurate, current, and complete registration information
- Maintain and promptly update your account information
- Keep your password confidential and notify us of any unauthorized access
- Accept responsibility for all activities under your account

We may suspend or terminate your account for violation of these Terms or for any other reason at our discretion.

4. Educational Use License

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial educational purposes only. This license does not include:
- Scraping, bulk downloading, or systematically extracting content
- Automating access (bots, scripts) without our prior written permission
- Sharing accounts or credentials with others
- Redistributing, reproducing, or publishing content outside the Service
- Using the Service for any commercial purpose without our written consent

Violation of these restrictions terminates your license automatically.

5. Medical Disclaimer

The Service Does Not Provide Medical Advice. All content—including questions, explanations, and materials—is for educational purposes only. The Service does not provide medical advice, diagnosis, or treatment recommendations. Nothing in the Service should be used to make clinical decisions, guide patient care, or substitute for professional medical judgment. Always consult qualified healthcare professionals for medical decisions.

6. Content Accuracy and Quality

Content may be in various stages of review. Some questions and explanations may not have been reviewed or approved by a subject matter expert. Even reviewed content may contain errors. We do not warrant the accuracy, completeness, or suitability of any content. Use the Service at your own risk.

7. Intellectual Property

The Service, including all content, software, design, and branding, is owned by Toussaint Ventures LLC or their licensors. You may not copy, modify, distribute, sell, or create derivative works from the Service or its content except as expressly permitted in these Terms.

8. User Content and Feedback

If you submit feedback, comments, or other content, you grant us a perpetual, royalty-free license to use, modify, and incorporate such content into the Service without compensation or attribution. Feedback is not considered confidential.

9. Acceptable Use

You agree not to:
- Use the Service in any way that violates applicable law
- Interfere with or disrupt the Service or its infrastructure
- Attempt to gain unauthorized access to the Service, other accounts, or our systems
- Transmit malware, spam, or harmful code
- Use the Service to harass, defame, or harm others

We may investigate violations and cooperate with law enforcement.

10. Limitation of Liability

To the fullest extent permitted by law:
- The Service is provided "as is" and "as available" without warranties of any kind, express or implied
- We disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement
- In no event shall we, or our affiliates be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of data, profits, or goodwill) arising from your use of the Service
- Our total liability for any claims arising from or relating to the Service shall not exceed the amount you paid us, if any, in the twelve months preceding the claim

11. Indemnification

You agree to indemnify, defend, and hold harmless Toussaint Ventures LLC, and their officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive (including disclaimers and limitations (Section 10), indemnification (Section 11), governing law (Section 15), the general terms (Section 16), and advertising disclaimers (Section 17)) shall survive termination.

13. Modifications

We may revise these Terms at any time. Material changes will be communicated by posting the updated Terms and updating the "Last Updated" date. Your continued use of the Service after changes constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.

14. Subject Matter Expert participation

These provisions apply only if you participate as a subject matter expert (SME) through reviewer tools:

15. Governing Law and Disputes

These Terms shall be governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Florida. You consent to the personal jurisdiction of such courts.

16. General

17. Advertising; dealing with third parties

To help support the operation and improvement of the Service, we may display third-party advertisements in designated placements. Our Advertising Policy describes how we approach ads, separation from educational content, labeling, and restricted categories.

Educational content—including questions, answer options, explanations, scoring, recommendations, lists, and SME review outcomes—is not for sale to advertisers as a way to change correct answers, alter educational meaning, or covertly promote brands. Advertisers do not pay us to replace or override medical education judgment in those materials.

Advertisements do not imply that we endorse advertised products, therapies, or companies. Your dealings with advertisers (including clicking an ad, visiting a landing page, or requesting information) are solely between you and the advertiser. Their sites and terms are not ours; review their policies carefully.
